1. Who may use the service

The service is intended for organizations and authorized personnel. You must have legal authority to bind your organization.

2. Service scope

Adili provides software for loan operations, branch management, borrower records, repayment tracking, analytics, and related workflows. Specific features may vary by plan, configuration, and enabled integrations. The service includes the Adili mobile app for iOS and Android, which staff use for their organization's work and SACCO and group members use to see their own savings, loans and contributions; these Terms apply to it.

3. Account and access responsibilities

• You are responsible for safeguarding credentials and account activity.
• You must assign permissions appropriately and remove access when no longer required.
• You must promptly notify us of suspected unauthorized access or security incidents.

4. Customer data and compliance

• You retain responsibility for data submitted to the service, including borrower and guarantor information.
• You represent that data collection and use is lawful and properly authorized under applicable laws and regulations.
• You must not submit unlawful, infringing, or malicious content.

5. Acceptable use

You agree not to:

• Use the service for unlawful, deceptive, or fraudulent activity.
• Interfere with service integrity, availability, or security controls.
• Attempt unauthorized access to data, accounts, networks, or infrastructure.
• Reverse engineer or misuse the platform except as legally allowed.

6. Integrations and third-party services

Some capabilities rely on third-party integrations, including identity providers, storage, email, and financial infrastructure. Their availability and performance may depend on those third parties.

7. Fees and payment terms

Pricing and billing terms are set in your order form, subscription plan, or written commercial agreement. Unless otherwise agreed, fees are due as invoiced and are non-refundable except where required by law.

8. Intellectual property

We and our licensors retain all rights, title, and interest in the service, software, and related materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service during your subscription term.

9. Confidentiality

Each party must protect confidential information disclosed by the other party and use it only for purposes of providing or using the service.

10. Service changes and availability

We may update, improve, or discontinue features from time to time. We will use commercially reasonable efforts to maintain service availability, but uninterrupted access is not guaranteed.

11. Suspension and termination

We may suspend or terminate access for violations of these Terms, non-payment, legal requirements, or security risk. You may stop using the service at any time, subject to active subscription or contractual commitments. You can delete your own account at any time, in the mobile app or as described at /en/delete-account; records your organization must keep stay with the organization.

12. Disclaimers

Except as expressly provided in writing, the service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data. Aggregate liability is limited to amounts paid for the service during the applicable commercial period.

14. Governing law and disputes

These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict-of-law principles, unless mandatory law provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. Continued use of the service after updates become effective constitutes acceptance of the revised Terms.
